Our Software License Agreement

The terms and conditions of this Agreement will apply to the Software supplied herewith and derivatives obtained therefrom, including any copies. The term 'Software' includes programs and related documentation supplied herewith. If you have executed a separate agreement covering the software supplied herewith, such software agreement will govern.

1. Title and license grant. The Software is copyrighted and/or contains proprietary information protected by law. The Software, and all copies thereof, are and will remain the sole property of The Minimon People. The Minimon People hereby grants you a, non-transferable and non-exclusive right to use, worldwide, all Software which is furnished to you under or in contemplation of this Agreement. Any other use of this Software or removal of the Software from a country in which use is licensed shall automatically terminate this license. Use of the Software anywhere except as specified subject to The Minimon People's consent which may be withheld for any reason and which may in addition to the terms and conditions of this License Agreement, be subject to the terms and conditions of a separate written agreement signed by the user. You agree to use your best efforts to see that any user of the Software licensed hereunder complies with the terms and conditions of this License Agreement and refrains from taking steps, such as reverse assembly or reverse compilation, to derive a source code equivalent of the Software.
2. Software and Information use A: You are permitted to make multiple archived copies, provided the Software shall not be otherwise reproduced, copied or disclosed to others, in whole or in part. Any such copy shall contain the same copyright notice and proprietary marking appearing on the original Software. B: The Software 1: together with any archive copies thereof, shall be destroyed when no longer used in accordance with this License Agreement, or when the right to use the Software is terminated; and 2: shall not be removed from a country in which use is licensed.
3. Exclusive remedies and limitation of liabilities A: To the full extent permitted by law any conditions or warranties imposed by law are excluded. B: You agree that your sole remedy against The Minimon People for loss or damage caused by any defect or failure in the Software regardless of the form of action whether in contract, tort, including negligence, strict liability or otherwise, shall be replacement of The Minimon People furnished Software or the correction of faults in the Software at The Minimon People's exclusive option. Provided information detailing the defect or failure is provided to The Minimon People within a reasonable time from the defect or failure occurrence. This shall be exclusive of all other remedies against The Minimon People. C: You acknowledge that no promise, representation or warranty or undertaking has been made or given by The Minimon People in relation to the profitability of or any other consequences or benefits to be obtained from the delivery or use of the Software.
This Agreement constitutes the entire agreement and understanding between you and The Minimon People in relation to the supply of the Software from The Minimon People. D: The Minimon People does not warrant that the functions of the Software will meet your requirements or that the Software operation will be continuous or fault free. E: Except as and to the extent that it is herein before provided, under no circumstances shall The Minimon People or any related company be liable for any loss, damage or injury (including without limitation any loss of profit, indirect consequential or incidental loss, damage or injury) arising from the supply or use or inability to use the Software, or any failure by The Minimon People or any related company to perform any obligation to observe any terms of this agreement. The Agreement is governed by the laws of New Zealand.
5. Software acquired for business purposes. You agree that you are acquiring the Software and Documentation for the purposes of a business as defined in the Consumer Guarantees Act 1993. The provisions of the Consumer Guarantees Act 1993 do not apply to the supply of these services to you. You acknowledge that you have read this Agreement and understand it, and you agree to be bound by its terms and conditions. You further agree that, except for separate written agreements between The Minimon People and you, this Agreement is the complete and exclusive statement of the rights and liabilities of the parties. This Agreement supersedes all prior oral agreements, projects or understandings, and any other communications between us relating to the subject matter of this Agreement.
